These Terms and Conditions ("Terms") govern your access to and use of the Findly website located at findly.ai (the "Site") and provide general terms related to the software-as-a-service platform and related offerings ("Services") provided by Conversion Pattern Inc.
Important Note on Agreements: These Terms apply to your general use of the Site and provide a high-level overview concerning our Services. If you subscribe to or purchase access to Findly's paid Services, your use of those Services will be primarily governed by a separate, specific Software as a Service (SaaS) Agreement or similar contract, along with any applicable Order Form(s) entered into between you (or the entity you represent) and Conversion Pattern Inc. ("Specific Agreement"). In the event of any conflict between these general Terms and a Specific Agreement regarding the paid Services, the terms of the Specific Agreement shall control.
By accessing or using the Site or indicating your interest in our Services, you agree to be bound by these Terms. If you do not agree with these Terms, please do not access or use the Site or Services.

1. AGREEMENT TO TERMS
These Terms constitute a legally binding agreement made between you ("you", "user") and Conversion Pattern Inc., a Delaware corporation located in the United States ('Company', 'we', 'us', 'Findly'), concerning your access to and use of the Site and concerning the general framework related to our Services.
BY USING THE SITE OR SERVICES, YOU AGREE TO THESE TERMS; IF YOU DO NOT AGREE, DO NOT USE THE SITE OR SERVICES.
2. USER REPRESENTATIONS
You must be at least 18 years old or the age of legal majority in your jurisdiction to use our Site or Services. By using the Site or Services, you represent and warrant that you have the legal capacity to enter into these Terms (and any Specific Agreement, if applicable) and agree to comply with them.
3. ACCOUNTS AND REGISTRATION
Accessing certain parts of the Site or using the Services may require you to register for an account. You agree to provide accurate, current, and complete information during registration and keep your account information updated. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
4. USE OF SITE AND SERVICES; ACCEPTABLE USE
You agree to use the Site and Services only for lawful purposes and in accordance with these Terms and any applicable Specific Agreement. You agree not to:
a. Use the Site or Services in any way that violates applicable federal, state, local, or international law or regulation.
b. Engage in any conduct that restricts or inhibits anyone's use of the Site or Services, or which, as determined by us, may harm Findly or users.
c. Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the Services, the server on which they are stored, or any server, computer, or database connected to them.
d. Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying ideas or algorithms of the Services, except to the extent permitted by applicable law.
e. Use any robot, spider, or other automatic device, process, or means to access the Site or Services for any purpose, including monitoring or copying material.
5. THIRD-PARTY WEBSITE AND CONTENT
The Site or Services may contain links to third-party websites or resources. We provide these links only as a convenience and are not responsible for the content, products, or services on or available from those websites or resources or links displayed on such websites. You acknowledge sole responsibility for and assume all risk arising from your use of any third-party websites or resources.
6. INTELLECTUAL PROPERTY RIGHTS
The Site, the Services, and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Findly, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. Subject to your compliance with these Terms (and any Specific Agreement), Findly grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site and, if applicable under a Specific Agreement, the Services for your internal business purposes or personal use as intended by Findly.
7. PRIVACY POLICY
We care about data privacy and security. Please review our Privacy Policy. By using the Site or Services, you agree to the terms of the Privacy Policy.
8. DISCLAIMERS
THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, FINDLY EXPLICITLY DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, OR NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. FINDLY MAKES NO WARRANTY THAT THE SITE OR SERVICES WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS. (Specific warranties or service level agreements, if any, regarding paid Services will be contained in the applicable Specific Agreement).
9. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER FINDLY NOR ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, OR LICENSORS SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SITE OR SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE OR SERVICES; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT FINDLY HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE. (Specific limitations of liability concerning paid Services will be detailed in the applicable Specific Agreement).
10. MODIFICATIONS AND INTERRUPTIONS
We reserve the right to withdraw or amend the Site, and any service or material we provide on the Site or as part of the Services, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Site or Services is unavailable at any time or for any period. From time to time, we may restrict access to some parts or all of the Site or Services.
11. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms shall be governed by and construed in accordance with the laws of the USA, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively in the federal courts of the United States or the courts of the State of Delaware, in each case located in Wilmington, Delaware. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts. (Dispute resolution mechanisms specifically related to paid Services, such as arbitration, may be specified in the applicable Specific Agreement and would supersede this clause for those specific disputes).
12. UNLIMITED MESSAGING SERVICE
Unlimited Messaging: While Findly offers an "Unlimited Messaging" feature in its services, it's important to clarify that this term is subject to certain reasonable use limitations to maintain system performance and integrity. The term "Unlimited" does not imply the capability for infinite or unrestricted use.
Velocity Cap: The messaging service is governed by a velocity cap, which places a limit on the rate at which messages can be sent. This is to prevent abuse, ensure equitable access for all users, and maintain service quality.
Modifications and Updates: Findly reserves the right to modify these terms and the associated policies as needed. Users will be notified of any significant changes.
13. TERM AND TERMINATION
These Terms remain in effect as long as you access or use the Site. Provisions that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability. Termination of access to paid Services is governed by the Specific Agreement.
14. GENERAL
These Terms constitute the entire agreement between you and Findly regarding the general use of the Site and provide a high-level framework concerning the Services, superseded by any Specific Agreement for paid Services. If any provision of these Terms is held to be invalid or unenforceable, that provision will be struck and the remaining provisions will be enforced. Findly's failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
